Kaiser's Commercial Diligence toolset, Notes on Diligence, is designed to drive better deal outcomes
Notes on Diligence™ is a toolset designed for Private Equity and Corporate Development teams. Private Equity and M&A professionals can use our Notes on Diligence™ toolset throughout the deal to drive better planning, enable more informed and disruptive decision making, and deliver superior outcomes. The toolset runs the course of a deal – from investment thesis development to post-close plan.
When designing Notes on Diligence™, our intention was to share frameworks and best practices developed by Kaiser through the course of hundreds of deals, and building on the ideas and feedback of many clients. Our hope is that the toolset will help clients drive even smarter deals, and better investment outcomes.
Of course, we recognize that deal-making is both an art, and a science. Every team applies its own special sauce – reflecting the unique philosophy, process, experience and objectives that separate one investor from another. That said, in today’s ever more pressured deal environment, we believe that the consistent application of structured, best-practice diligence methods can materially improve the chances of success.
Our Notes on Diligence™ toolset starts with a comprehensive commercial diligence issue list that can be used to prepare for – and stimulate thinking in – investigations and meetings. The list covers the Market, Customers, Competitive Position, and Resilience of the Core Business, Value Generation, Integration and Exit.
The remainder of the tools are designed to help build the thesis and set the diligence agenda, recognize patterns from the numerous data points and discern the most significant takeaways, organize activities and track progress, and develop pre- and post-close action plans.
The comprehensive Commercial Diligence issue list is organized by the following seven topics:
- Market Dynamics
- Competitive Position
- Resilience of the Business
- Value Generation Opportunity
- Exit Considerations
